Living Book Publisher Agreement

This Publisher Agreement (“Agreement”) is entered into by and between Manja Inc., a Delaware corporation (“Company”, “we”, “us”, or “our”), and the individual or entity identified as the publisher during the account registration process (“Publisher”, “you”, or “your”).

By registering as a Publisher on the Living Book Platform (“Platform”), you agree to be bound by this Agreement.

1. Eligibility and Registration

1.1. You represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal authority to enter into this Agreement.

1.2. If you are registering on behalf of an entity, you represent that you have the authority to bind that entity.

2. Content Ownership and License

2.1. Ownership: You retain all ownership rights in the content (“Content”) you submit, publish, or make available on the Platform, subject to the licenses granted herein.

2.2. License to Manja Inc.: By submitting Content, you grant Manja Inc. a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, display, reproduce, distribute, adapt, publicly perform, publicly display, and translate your Content solely for the purpose of operating, promoting, marketing, and improving the Platform and related services.

2.3. You acknowledge that readers may interact with your Content, including highlighting, commenting, or sharing excerpts as permitted by the Platform’s functionality.

3. Content Standards and Obligations

3.1. You represent and warrant that:
- (a) You either own the Content or have all necessary rights, permissions, licenses, or consents to publish it.
- (b) Your Content does not infringe upon, misappropriate, or violate any third party’s intellectual property rights, privacy rights, publicity rights, or other legal rights.
- (c) Your Content complies with all applicable laws, rules, and regulations.

3.2. You agree not to upload, publish, or distribute any Content that:
- (a) Is defamatory, obscene, abusive, harassing, hateful, or otherwise unlawful;
- (b) Contains malware, viruses, or harmful code;
- (c) Violates any intellectual property laws or privacy laws;
- (d) Includes false or misleading information;
- (e) Violates any export control laws or regulations.

3.3. You are solely responsible for maintaining the accuracy, completeness, and quality of your Content.

4. Account Security

4.1. You are responsible for maintaining the confidentiality and security of your account credentials.

4.2. You agree not to share your account with others. You are fully responsible for all activities conducted through your account.

4.3. You agree to notify us immediately if you suspect unauthorized use of your account.

5. Data Privacy and Reader Protection

5.1. You agree to handle any reader data you access in compliance with applicable privacy laws, including but not limited to GDPR, CCPA, and any other relevant regulations.

5.2. You may not use reader data for any purpose other than as permitted by the Platform’s functionality and this Agreement.

5.3. You must not sell, lease, or misuse any reader data obtained via the Platform.

6. Prohibited Conduct

You agree not to:
- (a) Engage in plagiarism or copyright infringement;
- (b) Upload or distribute malicious code;
- (c) Circumvent, disable, or otherwise interfere with security-related features of the Platform;
- (d) Use the Platform for any illegal, fraudulent, or harmful purpose;
- (e) Misrepresent your identity, qualifications, or affiliation.

7. Indemnification

You agree to indemnify, defend, and hold harmless Manja Inc., its affiliates, officers, directors, employees, agents, licensors, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- (a) Your Content;
- (b) Your use of the Platform;
- (c) Your breach of this Agreement;
- (d) Your violation of any law or rights of a third party.

8. Limitation of Liability

8.1. Disclaimer: The Platform is provided “as is” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2. Limitation: To the maximum extent permitted by law, in no event shall Manja Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Platform.

8.3. Our total aggregate liability to you for any claims under this Agreement shall not exceed USD $100.

9. Termination

9.1. Either party may terminate this Agreement at any time for any reason by providing written notice (including email).

9.2. Upon termination:
- (a) Your right to publish Content on the Platform ceases.
- (b) Manja Inc. may retain backup copies of your Content for legal, compliance, and archival purposes.
- (c) Any provisions that by their nature should survive termination (including indemnity, limitation of liability, governing law) shall survive.

10. Intellectual Property Rights

10.1. Except for the Content you provide, all intellectual property in the Platform (software, branding, UI, logos, etc.) is owned by Manja Inc. or its licensors.

10.2. You agree not to copy, reverse-engineer, decompile, or create derivative works based on the Platform.

11. Modifications to the Agreement

11.1. Manja Inc. may modify this Agreement from time to time.

11.2. We will notify you of any material changes via email or through the Platform.

11.3. Your continued use of the Platform after the effective date of modifications constitutes acceptance of the revised Agreement.

12. Governing Law and Dispute Resolution

12.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

12.2. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Delaware, USA, and you consent to the personal jurisdiction and venue therein.

13. Miscellaneous

13.1. This Agreement constitutes the entire agreement between you and Manja Inc. regarding publishing on the Platform.

13.2. If any provision is found invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

13.3. Failure by either party to enforce any right shall not be deemed a waiver of that right.

13.4. You may not assign or transfer this Agreement without prior written consent from Manja Inc. We may assign this Agreement without restriction.

By registering as a Publisher on Living Book, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

Note: This agreement covers the operational and legal obligations of being a publisher on the platform. Any commercial terms, including revenue sharing, payment terms, or exclusivity, must be covered in a separate Commercial Agreement.
